1. Agreement

These Terms and Conditions ("Terms") govern your access to and use of the Seda application, website, and related services provided by gushiStudio ("we", "us", "our").

By downloading, accessing, or using Seda, you agree to these Terms. If you do not agree, you must not use Seda.

2. Eligibility

You must be at least the age of majority in your jurisdiction, or otherwise have the permission of a parent or legal guardian where permitted by law, to use Seda.

3. Description of the Services

Seda may allow you to:

• record audio
• import files
• transcribe audio
• generate summaries, notes, action items, or related outputs
• organise, store, and export content
• use optional paid or premium features

We may modify, improve, suspend, or discontinue any part of Seda at any time.

4. User accounts

If Seda offers user accounts:

• you must provide accurate and current information
• you are responsible for maintaining the confidentiality of your account credentials
• you are responsible for all activity under your account
• you must notify us promptly of unauthorised access or suspected security breaches

We may suspend or terminate accounts that breach these Terms.

5. Your content

You retain ownership of content you submit, upload, import, record, or create through Seda, including audio, transcripts, summaries, notes, and exports ("User Content"), subject to the rights you grant to us under these Terms.

You grant us a limited, non-exclusive, worldwide licence to host, process, reproduce, and use User Content solely as reasonably necessary to:

• provide and operate the Services
• process your requested features
• maintain and improve the Services
• troubleshoot and support the Services
• comply with legal obligations

We do not claim ownership of your User Content.

6. Your responsibilities

You are responsible for:

• ensuring you have the legal right to record, upload, import, process, and share User Content
• obtaining all necessary consents from people whose voices or personal information appear in User Content
• complying with all privacy, surveillance, employment, confidentiality, intellectual property, and other applicable laws
• reviewing generated outputs before relying on them

You must not use Seda to:

• break the law
• infringe another person’s rights
• record or process content without required consent
• upload malware, harmful code, or malicious content
• interfere with the security or operation of Seda
• reverse engineer, scrape, or misuse the Services except where such restriction is not permitted by law
• use Seda to build a competing service by unauthorised means
• 7. AI-generated and automated outputs

Seda may produce automated outputs such as transcripts, summaries, speaker labels, action items, or other generated content.

You acknowledge that:

• automated outputs may contain errors, omissions, or inaccuracies
• speech recognition and summarisation are probabilistic and may not be complete or correct
• outputs should be reviewed by a human before being used for legal, medical, financial, employment, compliance, or other sensitive decisions

You are responsible for how you use or rely on generated outputs.

8. Privacy

Our collection and handling of personal information is described in our Privacy Policy available at:

By using Seda, you acknowledge that your information will be handled in accordance with that policy.

9. Paid features, subscriptions, and billing

If Seda offers paid subscriptions, one-off purchases, or premium features:

• prices will be shown before purchase
• billing may be handled by Apple or another authorised payment provider
• subscriptions may renew automatically unless cancelled before the renewal date
• you are responsible for managing and cancelling subscriptions through the relevant platform unless we expressly provide another method
• fees are generally non-refundable except where required by law or platform rules

We may change pricing or introduce new fees in the future, subject to applicable law and platform requirements.

10. Free trials

If we offer a free trial, it may automatically convert into a paid subscription unless cancelled before the trial ends, subject to the terms displayed at sign-up and the relevant app platform rules.

11. Intellectual property

We own or licence all rights in Seda, including the app, software, branding, design, text, graphics, interfaces, documentation, and underlying technology, excluding your User Content.

These Terms do not transfer any intellectual property rights to you, except for the limited right to use Seda in accordance with these Terms.

12. Software licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use Seda for your personal or internal business use.

You must not:

• copy, modify, distribute, sell, lease, or sublicense Seda except as permitted by law
• decompile, disassemble, or reverse engineer Seda except where such restriction is prohibited by law
• remove copyright, trade mark, or other proprietary notices
• 13. Availability and updates

We do not guarantee that Seda will always be available, uninterrupted, secure, or error-free.

We may release updates, patches, bug fixes, or new versions. Some features may require you to install updates to continue using Seda properly.

14. Third-party services

Seda may integrate with or rely on third-party services, tools, models, storage providers, payment processors, AI providers, or app platforms.

We are not responsible for third-party services, and your use of them may also be subject to their terms and policies.

15. Data storage and backups

Unless we expressly state otherwise, you are responsible for maintaining your own backups of important User Content and exports.

Where local storage is used, deleting the app, changing devices, or device failure may result in data loss.

Where sync or cloud storage is offered, we still recommend keeping independent backups of important content.

16. Termination

You may stop using Seda at any time.

We may suspend, restrict, or terminate your access to Seda if:

• you breach these Terms
• we reasonably suspect unlawful or harmful activity
• continued access creates legal, security, or operational risk
• we discontinue the Services

On termination, provisions that by nature should survive termination will continue, including provisions relating to intellectual property, liability, indemnity, dispute resolution, and general legal terms.

17. Disclaimer

To the maximum extent permitted by law, Seda is provided on an "as is" and "as available" basis.

We do not warrant that:

• Seda will meet your requirements
• Seda will be uninterrupted, timely, secure, or error-free
• transcripts, summaries, labels, or other outputs will be accurate or fit for any purpose
• defects will always be corrected

Nothing in these Terms excludes rights or remedies that cannot be excluded under applicable law, including consumer guarantees under the Australian Consumer Law.

18. Limitation of liability

To the maximum extent permitted by law:

• we exclude all implied warranties, representations, and conditions except those that cannot lawfully be excluded
• we are not liable for indirect, incidental, special, consequential, or punitive loss, including loss of profits, revenue, business, goodwill, opportunity, or data
• our total liability arising out of or in connection with Seda will be limited to the amount you paid us for Seda in the 12 months before the event giving rise to the claim, or if you have paid nothing, AUD $100

Where liability cannot be excluded but can be limited, our liability is limited to the maximum extent permitted by law.

19. Indemnity

You agree to indemnify and hold gushiStudio harmless from claims, losses, liabilities, damages, costs, and expenses arising from:

• your misuse of Seda
• your User Content
• your breach of these Terms
• your breach of law or another person’s rights
• your failure to obtain necessary recording or privacy consents
• 20. Governing law

These Terms are governed by the laws of Victoria, Australia, unless otherwise required by applicable law.

You agree to submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

21. Changes to these Terms

We may update these Terms from time to time. We will publish the updated version in the app, on our website, or by other appropriate means. Continued use of Seda after the updated Terms take effect constitutes acceptance of the revised Terms.

22. App Store terms

If you download Seda through the Apple App Store, you acknowledge that:

• these Terms are between you and gushiStudio, not Apple
• Apple is not responsible for Seda or its content
• Apple has no obligation to provide maintenance or support for Seda except as required by law
• Apple is a third-party beneficiary of these Terms and may enforce them against you

You must also comply with any applicable third-party platform terms when using Seda.
